Terms and conditions

Convenience translation. The legally binding version is the German one: Allgemeine Geschäftsbedingungen (AGB). In case of any discrepancy the German version prevails. The contract is governed by German law (§ 14).

for “GEO Audit Basic”, “GEO Audit Plus” and “GEO Monitoring” · Last updated: 18.10.2026

§ 1 Scope, businesses only

  1. These terms apply to all contracts between magiclabs GmbH, Rosengarten 9, 49456 Bakum, Germany (“Provider”) and its customers for “GEO Audit Basic”, “GEO Audit Plus” and “GEO Monitoring”.
  2. The offer is aimed exclusively at businesses (B2B) established in Germany, in other EU member states or elsewhere that act in the exercise of their trade, business or profession when booking (businesses within the meaning of § 14 German Civil Code, BGB), and at legal entities and special funds under public law. Consumers (§ 13 BGB) may not book, wherever they live. By booking, the customer confirms that it is acting as a business. There is therefore no statutory consumer right of withdrawal.
  3. Deviating terms of the customer only apply if the Provider expressly agrees in text form.

§ 2 Conclusion of contract

  1. The presentation of the services on the website is not a binding offer. By completing checkout on the payment page of the payment provider Stripe, the customer makes a binding offer. The contract is concluded when the Provider confirms the order by email or starts performing the service.
  2. The contract language is German. An English translation of these terms is provided; the German version prevails. We communicate with customers in English or German.

§ 3 Service description

  1. The Provider examines whether and how the customer's business is named in AI search and answer engines. It asks buyer questions that real prospects in the customer's market would ask (in that market's language) in Grok, ChatGPT, Perplexity and Google (AI Overview), evaluates the answers and checks the customer's website for AI readiness (including crawlability, robots.txt, schema.org structured data, consistent business details, llms.txt, and pages that answer the buyer questions).
  2. The scope depends on the service booked, as described at the time of booking:
    • GEO Audit Basic: 8 buyer questions across the engines named above, visibility score, site readiness check, top 5 fixes, report in English or German. No competitor comparison.
    • GEO Audit Plus: 12 buyer questions, comparison with 2–3 competitors, a map of the sources the AI engines cite, site readiness check, top 5 fixes with code snippets (e.g. structured data, robots.txt, llms.txt), report in English and German, and a short recorded walkthrough (video).
    • GEO Monitoring: a monthly re-check of the buyer questions across the engines named above with a short report: which AI engines name the customer, which sources they cite, and what changed since the previous month. The report includes share of voice versus competitors only if the customer bought GEO Audit Plus or named competitors in the intake form. It is based on the buyer questions of a previously booked GEO audit. Without a prior audit, the Provider drafts 8 buyer questions from the intake details at the start and runs a baseline measurement in the first month. In that case the report shows changes from the second month.
  3. The report is delivered by email as a PDF. It contains the results, selected answer quotes with engine, date and sources, and a method note (questions asked, date, location used).
  4. If an AI engine cannot be queried in an individual case (e.g. outage or access block), the Provider states this and the reason in the report and leaves it out of the figures. The Provider will try to run the query again within the delivery period.
  5. Implementation work on the customer's website (e.g. installing the code snippets), consulting sessions and calls are not part of the service unless agreed separately.

§ 4 No guaranteed result, no ranking or visibility guarantee

  1. Answers from AI engines are not deterministic. They depend on time, location, language, account and model version, and change constantly. The report reflects the state at the time of the queries.
  2. The Provider owes the agreed analysis and report but no particular result. In particular, it does not guarantee that the customer will be named more often, more prominently or at all in AI engines or in classic Google search after implementing the fixes, nor any number of visitors, enquiries or sales.
  3. The answers and cited sources come from third parties (operators of the AI engines and websites). The Provider reproduces them unchanged as evidence and gives no warranty for their accuracy.

§ 5 Customer cooperation (intake)

  1. After booking, the customer receives a link to the intake form. In it the customer provides at least the website address, its market or location and the report language, and for GEO Audit Plus also 2–3 competitors (alternatively the Provider can propose them after researching the market).
  2. The customer is responsible for the accuracy of its details and for being entitled to have the website checked.
  3. If the customer does not complete the intake form within 30 days of booking, the Provider reminds it by email. If a reasonable further deadline set afterwards also passes without response, the Provider may terminate the contract under § 643 BGB. The Provider then retains its claim to the agreed fee less saved expenses.

§ 6 Delivery time

  1. The report for GEO Audit Basic and GEO Audit Plus is delivered no later than 10 business days (Monday to Friday, excluding nationwide public holidays in Germany) after receipt of the completed intake form.
  2. For GEO Monitoring, the customer receives the first report (if booked without a prior audit: the baseline) no later than 10 business days after complete intake and then one report per billing month.
  3. Delays caused by missing cooperation of the customer or outages of the AI engines extend the period accordingly.

§ 7 Type of contract, acceptance and defects

  1. GEO Audit Basic and GEO Audit Plus are contracts for work (Werkvertrag, §§ 631 ff. BGB). What is owed is the report with the agreed content under § 3, not a particular result under § 4.
  2. The customer reviews the report after receipt. The report is deemed accepted unless the customer objects within 10 business days of receipt, naming at least one defect. The Provider points out this deadline and its consequences on delivery.
  3. In case of defects (e.g. missing agreed components or demonstrably wrongly transferred figures), the Provider first remedies them by correcting or completing the report. If the remedy fails, the customer may reduce the fee or withdraw from the contract in accordance with the law. Damages are governed by § 11.
  4. Claims for defects become time-barred one year after acceptance. This does not apply to claims under § 11 (1).
  5. GEO Monitoring is a contract for services (Dienstvertrag, §§ 611 ff. BGB). The Provider owes the monthly re-checks and reports, not a particular result.

§ 8 Prices and payment

  1. The prices in euros stated at the time of booking apply. All prices are net prices plus VAT where applicable: customers established in Germany are charged German VAT (currently 19 %). Businesses established in another EU member state that enter a valid VAT ID at checkout are invoiced under the reverse-charge procedure (the customer accounts for the VAT). Customers outside the EU are generally not charged German VAT. The tax treatment is shown on the invoice.
  2. The fee for GEO Audit Basic and GEO Audit Plus is due on booking and is paid via Stripe using the payment method chosen by the customer.
  3. For GEO Monitoring, the customer pays the first 3 months in advance on booking (EUR 237 net). From the fourth month, the monthly fee (EUR 79 net) is due in advance at the start of each billing month and collected via Stripe. Stripe labels the prepaid period as a “trial” for technical reasons. It is not a free trial.
  4. The customer receives an invoice showing VAT by email after each payment.
  5. If the customer is in default of payment, the Provider may suspend the service after prior notice in text form until the outstanding amount is paid.
  6. The Provider announces price changes for ongoing GEO Monitoring in text form at least 30 days before they take effect. The customer may then terminate with effect from the date the change takes effect; the Provider points this out in the announcement. The price does not change during the first 3 months.

§ 9 Term and cancellation (GEO Monitoring)

  1. GEO Monitoring has a minimum term of 3 months from booking, which is prepaid on booking. It then renews automatically for one month at a time unless cancelled.
  2. Either party may cancel GEO Monitoring at any time to the end of the current billing period, at the earliest to the end of the minimum term. A cancellation during the minimum term takes effect at its end. Ordinary cancellation does not entitle the customer to a pro-rata refund of the prepayment.
  3. Cancellation is possible in text form, in particular by email to hello@spokenof.io. The Provider confirms receipt and the end date by email.
  4. The right to terminate for good cause remains unaffected.

§ 10 Rights of use in the report

  1. Upon full payment, the customer receives a simple (non-exclusive) right, unlimited in time and territory, to use, copy and edit the reports, the walkthrough video and the code snippets for the purposes of its business. This includes passing them on to its own staff and to service providers (e.g. a web agency) that implement the fixes for it.
  2. The customer may use and adapt the code snippets on its own websites without restriction.
  3. Reselling the reports or publishing them as a product of its own is not permitted. Answer quotes and third-party content in the report remain the rights of their respective owners and are included as evidence only.
  4. The Provider may continue to use its method, templates and general findings. It names the customer as a reference only with the customer's prior consent in text form.

§ 11 Liability

  1. The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and to the extent of any guarantee given.
  2. In case of slightly negligent breach of an essential contractual obligation (cardinal obligation), liability is limited to the typical damage foreseeable at the time the contract was concluded. Essential obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely.
  3. Otherwise, liability for slight negligence is excluded.
  4. For disadvantages resulting from the customer not being named, or being named less prominently, in AI engines or search engines, or arising from implementing the recommended fixes on its website, the Provider is also liable only in accordance with paragraphs 1 to 3. The customer is itself responsible for implementation, testing and backups on its website. Contributory fault is taken into account (§ 254 BGB).
  5. The above limitations also apply in favour of the Provider's legal representatives, employees and vicarious agents.

§ 12 Data protection and confidentiality

  1. The Provider processes personal data in accordance with its privacy policy.
  2. The Provider treats the intake details and the reports confidentially and only passes them on to service providers it uses to perform the service. The buyer questions contain the customer's business name and website and are entered into the AI engines to perform the service. The customer should not enter trade secrets or third-party personal data in the intake form that are not needed for this purpose.

§ 13 Changes to these terms

  1. The Provider offers changes to these terms for ongoing GEO Monitoring in text form at least 30 days before they are to take effect. They only take effect if the customer agrees in text form. If the customer does not agree, the contract continues on the previous terms. Both parties' right to ordinary cancellation under § 9 remains unaffected. Price changes are governed by § 8 (6).

§ 14 Final provisions

  1. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
  2. If the customer is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany, the exclusive place of jurisdiction for all disputes arising from this contract is the Provider's registered office (Bakum). The Provider may also sue the customer at the customer's general place of jurisdiction.
  3. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by the statutory provision.
